Trust is exactly why you need a partnership agreement. A well-drafted agreement protects the relationship by preventing misunderstandings before they become disputes. When two partners trust each other, they can have honest conversations about difficult topics — what happens if one wants out, what if the business fails, how do you handle disagreements? Put those answers in writing now, while you agree, rather than fighting about them later when you don't. The cost of a partnership agreement ($2,000–$5,000) is nothing compared to a partnership lawsuit ($50,000–$200,000+).

They serve the same purpose but for different entity types. A partnership agreement governs general partnerships and limited partnerships. An operating agreement governs Limited Liability Companies (LLCs). Since most small businesses form as LLCs (for liability protection), the operating agreement is the more common document. Both cover the same essential topics: ownership percentages, profit distribution, management authority, buyout provisions, and dissolution procedures.

Profit splits should reflect each partner's total contribution — not just capital. Consider: (1) Cash investment — who put in more money? (2) Time commitment — who works full-time vs. part-time? (3) Skills and expertise — who brings specialized knowledge? (4) Business development — who brought the customers or the opportunity? There's no "standard" split. Common arrangements include: equal split (50/50 for equal contributions), proportional to investment, salary-plus-profit (operating partners get a salary, then remaining profits split by ownership), or tiered splits that change as the business grows.

It depends on your partnership or operating agreement. If the agreement includes involuntary buyout provisions (triggered by breach of duty, conviction of a crime, bankruptcy, or deadlock), you can force a buyout under those terms. Without such provisions, removing a partner typically requires: (1) negotiating a voluntary buyout, (2) seeking judicial dissolution, or (3) proving the partner breached their fiduciary duties. Prevention is key — include clear involuntary buyout triggers in your agreement from the start.

Without a buy-sell agreement, the deceased partner's ownership interest passes to their estate — their spouse, children, or whoever inherits. This means you could suddenly be in business with your partner's family members. With a buy-sell agreement funded by life insurance, the surviving partner(s) buy out the deceased partner's interest at a pre-agreed price, providing the family with fair compensation while maintaining business continuity. This is especially critical in Arab American family businesses where multiple generations may be involved.

Common valuation methods for buyouts include: (1) Formula-based — a pre-agreed formula (e.g., 3x annual earnings) written into the partnership agreement. Simple and predictable but may become outdated. (2) Independent appraisal — hire a business appraiser at the time of buyout. More accurate but costs $5,000–$15,000 and can be disputed. (3) Agreed value — partners set a value annually and update it. Requires discipline. (4) Hybrid — formula as a floor with appraisal option if either party objects. The best approach is to choose a method in your partnership agreement before a buyout is triggered.
